EULA – CMRKS (Chemist Medicine Record Keeping Software)

This End User License Agreement ("Agreement" or "EULA") is a legally binding agreement between Logiquecode LLP, Noida ("Licensor", "Company", "We") and the individual or entity ("Licensee", "User", "You") accessing or using the Chemist Medicine Record Keeping Software Solution ("Software").

By installing, accessing, or using the Software, you agree to be bound by this Agreement.

1. Definitions

Authorized Users, Patient Data, Software, Subscription Term, Services, and Documentation shall have their commonly understood meanings within healthcare IT systems.

2. License Grant

The Licensor grants a limited, non-exclusive, non-transferable, non-sublicensable license to use the Software for pharmacy inventory, operational, billing, and record management.

3. License Restrictions

You shall not copy, modify, reverse engineer, decompile, disassemble, rent, lease, sublicense, sell, or distribute the Software or use it for unlawful purposes.

4. Ownership & Intellectual Property

The Software and all intellectual property rights remain the exclusive property of Logiquecode LLP.

5. User Responsibilities

Users are responsible for data accuracy, compliance with applicable laws, secure access control, patient/customer consent, and maintaining data backups unless a paid backup service is provided.

6. Data Protection & Privacy

The Licensee acts as Data Controller while the Licensor acts as Data Processor. The Licensor implements reasonable technical safeguards.

7. Availability & Support

The Licensor does not guarantee uninterrupted service. Support services are governed by separate support agreements.

8. Fees & Payments

All subscription fees are non-refundable unless otherwise agreed. Access may be suspended for non-payment.

9. Termination

The agreement may terminate upon breach or subscription expiry. Access to the software will cease thereafter.

10. Limitation of Liability

Total liability shall not exceed the subscription fees paid during the preceding 12 months.

11. Governing Law

This agreement is governed by the laws of India and subject to the jurisdiction of courts in New Delhi.

By using the Software, you confirm that you have read and agreed to this Agreement.

EULA – DPMS (Doctor Patient Management Software)

This End User License Agreement ("Agreement") is between Logiquecode LLP and the user accessing or using the Doctor Patient Management Software Solution ("Software").

By installing or using the Software, you agree to this agreement.

1. Definitions

Authorized Users, Patient Data, Software, Subscription Term, Services, and Documentation have standard meanings within healthcare IT systems.

2. License Grant

Licensor grants a limited, non-exclusive license to use the Software for clinical, administrative, billing, and operational healthcare management.

3. License Restrictions

Users may not reverse engineer, distribute, sublicense, or misuse the software.

4. Ownership

All intellectual property rights remain with Logiquecode LLP.

5. User Responsibilities

Users are responsible for data accuracy, patient consent, secure access, and maintaining backups unless backup services are subscribed.

6. Data Protection

The Licensee is the Data Controller and the Licensor acts as Data Processor.

7. Medical Disclaimer

The software is a management tool and does not provide medical advice or diagnosis. All medical decisions remain the responsibility of qualified healthcare professionals.

8. Availability & Support

The Licensor does not guarantee uninterrupted access. Support is governed by separate agreements.

9. Fees

Subscription fees are non-refundable unless otherwise agreed.

10. Termination

Access ends upon breach or subscription expiry.

11. Limitation of Liability

Total liability is limited to fees paid during the preceding 12 months.

12. Governing Law

This agreement shall be governed by Indian law with jurisdiction in New Delhi courts.

By using the Software, you acknowledge acceptance of this Agreement.
